About the Role
You will handle a broad range of corporate legal matters as a generalist at the intersection of traditional corporate law and digital assets and fintech. You will draft, review, and negotiate crypto and payment related contracts; oversee governance for US and global entities; manage fundraising rounds and M&A due diligence; advise internal teams on legal risks and craft templates and playbooks.
Requirements
- Education: JD from an accredited US law school and active bar membership in at least one US jurisdiction.
- Experience: Minimum of 5 years of experience in a high-growth in-house environment.
- Domain Expertise: Proven track record in fintech, payments, or the crypto/web3 space is highly preferred.
- Communication: Ability to explain legalese to non-lawyers with clarity, wit, and brevity.
- Adaptability: Comfortable with ambiguity and able to pivot quickly in a fast-paced global regulatory environment.
Responsibilities
- Draft, negotiate, and manage complex commercial agreements.
- Lead legal review for Crypto and Payment-related contracts, including liquidity provider agreements, custody arrangements, and payment processing terms.
- Oversee corporate governance for our US and global entities, ensuring compliance with local statutory requirements.
- Manage board secretarial duties, including drafting resolutions, maintaining minute books, and managing entity formations/dissolutions.
- Stay abreast of evolving regulatory requirements in multiple jurisdictions.
- Provide end-to-end legal support for fundraising rounds.
- Execute Mergers & Acquisitions (M&A), including due diligence management, data room oversight, and definitive agreement negotiation.
- Manage relationship with outside counsel to ensure cost-effective and high-quality deliverables.
- Serve as a trusted advisor to internal stakeholders (Product, Finance, HR, and Operations) on day-to-day legal issues.
- Proactively identify legal risks and implement scalable mitigation strategies.
- Support the development and refinement of internal legal templates and playbooks.
