About the Role
As the Associate General Counsel EPC and Supply Chain you will be the lead legal adviser for the company's engineering construction and equipment procurement activities. You will partner with the Construction and Supply Chain teams to drive the legal strategy, negotiate and draft EPC agreements, pre-construction services agreements, design build agreements, master services agreements and supplier agreements. You will manage operational risk during project execution, providing definitive guidance on claims, change orders, liquidated damages, and contractor performance issues. You will coordinate with outside counsel on complex construction agreements and contractor or supplier disputes. You will ensure construction timelines align with utility interconnection windows, customer delivery obligations, and financing requirements. You will interface with the AGCs of Development, Energy, and Strategic Transactions to ensure unified terms across site control, power availability, and project financing deliverables. You will flag misalignments early and execute corrective pathways. You will oversee legal aspects of long lead procurement agreements for major electrical components such as transformers, switchgear, and generators, aligning vendor contracts with prime EPC flow downs and warranty structures. You will build, maintain, and refresh construction exhibit libraries, standardized change order procedures, and repeatable flowdown matrices to accelerate parallel builds. You will provide proactive legal guidance to the Construction and Supply Chain teams. You will ensure construction related risk profiles are accurately reflected in Board and executive reporting materials. You will direct and manage construction litigation and specialized EPC firms, maintaining budget oversight and scope containment while capturing knowledge internally.
Requirements
- Active license to practice law in at least one U.S. state and in good standing of a U.S. Bar
- Minimum of 10 years of legal experience with specialized experience drafting and negotiating large-scale construction and infrastructure agreements and EPC agreements
- Excellent negotiation, drafting, and communication skills
- Strong ability to escalate and mitigate project disputes while preserving the company's legal positions
- Rigorous understanding of milestone dependencies, LD triggers, and completion criteria affecting capital markets deliverables and downstream customer commitments
- Experience resolving material construction delay claims, liquidated damages disputes, and contractor defaults
- Knowledge of global equipment procurement logistics and contractual complexities and ability to secure delivery certainty in volatile vendor markets
- Strategic thinker with practical, business-oriented approach to legal issues
- Ability to manage multiple projects simultaneously in a fast-paced environment
Responsibilities

- Interface directly with the AGCs of Development, Energy, and Strategic Transactions to ensure unified terms across site control, power availability, and project financing deliverables. Flag misalignments early and execute corrective pathways
