About the Role
You will support transactions, fund launches, and venture investments; draft, review, and negotiate commercial agreements; and advise on corporate, governance, and regulatory matters. You will manage legal risk, maintain corporate records and statutory compliance, liaise with external counsel, and contribute legal commentary and conference panels.
Requirements
- 3+ years of experience in a legal counsel role, preferably in private practice and/or the finance sector
- Juris Doctor degree from an accredited law school
- Admission to the New York State Bar Association
- Sound judgment and decision-making in a fast-paced environment
- Strong drafting, negotiation, and analytical skills
- Ability to provide practical, commercially minded legal advice
- Excellent communication skills
- Strong organizational skills and ability to manage multiple priorities and deadlines
- High degree of ownership and autonomy
Responsibilities
- Provide substantive support for transactions and deals, including fund launches and venture investments
- Draft, review, and negotiate commercial contracts, investor-related agreements, vendor agreements, and NDAs
- Provide legal advice on corporate, governance, and regulatory matters
- Support business teams on operational, commercial, and strategic initiatives
- Manage and mitigate legal risk in day-to-day operations
- Liaise with external counsel on specialized legal matters
- Maintain corporate records and ensure compliance with statutory obligations and filings
- Prepare commentaries and speak on conference panels
